10.17 “Assignment”

10.17.1 The “Services” to be performed by “IW” hereunder are personal in nature, and “The Client” has engaged “IW” as a result of “IWs” unique expertise relating to such “Services”. Neither this “Agreement”, nor any right, interest, duty nor obligation, hereunder may be assigned, transferred or delegated by “IW” without the express written consent of “The Client” which consent may be withheld in the discretion of “The Client”.
